Executive Summary
Monsanto and Pharmacia & Upjohn have agreed to combine companies in a tax-free pooling of interests valuing Pharmacia & Upjohn at $26.7bn. P&U shareowners will receive 1.19 shares (at a (pr)4% discount) for each common they hold; each Monsanto share will represent one share in the combined company. Monsanto shareowners will own approximately 51% of the new company.
