Executive Summary
In a tax-free stock swap, Pharmacopeia (technologies to enhance the drug discovery and chemical development processes) will acquire Eos Biotechnology (genomics-based drug discovery technology) for 10mm common shares plus warrants to buy an additional 600k Pharmacopeia shares valued at $17.07 apiece. There are collar provisions if the share price is below $14.89 at the close of the transaction.
