Executive Summary
CeNeS Pharmaceuticals PLC has agreed to acquire privately held TheraSci Ltd. (central and peripheral nervous system drugs) for up to £3.7mm ($6.3mm). CeNeS will issue up to 45.7mm of its shares to TheraSci shareholders, leaving the acquired company with approximately £1.2mm in net assets and £1mm cash on hand.
