Cardinal Health to acquire Alaris Medical for $2bn

Executive Summary

Cardinal Health has signed a definitive agreement to acquire Alaris Medical Systems (intravenous medication safety products) for $2bn, or roughly 4 times Alaris's 2003 sales. In a tender offer, Cardinal will pay $22.35 cash for each outstanding Alaris share (a 12% premium to the market average) and will also assume about $400mm in debt.
