Bayer buys Roche Consumer Health for $3bn in cash

Executive Summary
Bayer AG is buying Roche's OTC business Roche Consumer Health for €2.38bn ($3bn) in cash or 2.38 times the division's annual sales. The purchase will boost Bayer Consumer Care from sixth position in the global OTC market to a ranking in the top three, alongside Johnson & Johnson and GlaxoSmithKline. Bayer is also acquiring Roche's 50% share of a US joint venture the two created in Sept. 1996 (although this component was not part of pre-acquisition talks).
