Executive Summary
AngioDynamics (devices to diagnose and treat peripheral artery disease) has acquired Rita Medical (devices to treat cancerous tumors) for $220mm consisting of 0.1722 of an AngioDynamics common share (valued at $3.72) and an amount of cash that uses a formula determined by the average price of AngioDynamics stock leading up to the closing of the transaction. Rita shareholders will own 34.5% of AngioDynamics, which will also assume $3.3mm in debt as part of the merger.
