Boston Scientific buys Sadra Medical for up to $386mm in cash

Executive Summary

Boston Scientific Corp. has agreed to buy the 86% of closely held Sadra Medical Inc. (minimally invasive devices for aortic valve disease) that it doesn't already own for $193mm in cash, plus up to $193mm in earn-outs through 2016. The additional funds will be released when Sadra's Lotus valve system receives US approval and begins generating revenue.
