Executive Summary
Cephalon Inc. plans to acquire public Australian company ChemGenex Pharmaceuticals Ltd. in a transaction valued at $A225mm ($231mm). Prior to officially making the takeover bid, Cephalon converted a ChemGenex note and exercised call options it received in October 2010, giving Cephalon ownership of 86.4mm ChemGenex shares (worth approximately $A66mm), a 27.57% stake.
